Why has the Bombay High Court restrained Tu Hai Meri Kiran’s release?
According to a report by Bar and Bench, AND Movie Products LLP approached the court over an alleged failure by Echelon Productions to return its investment in the film. The company told the court that it had invested Rs 8.85 crore under a co-production agreement signed in March 2024.AND Movie Products alleged that the agreed repayment timeline had expired without the money being returned. It also cited a cheque that was dishonoured as part of its case against Echelon Productions.
Justice Amit Borkar passed the interim order under Section 9 of the Arbitration and Conciliation Act. The court directed Echelon Productions to deposit the Rs 8.85 crore investment, along with 15% interest, within three working days. The amount is to serve as security before the film can proceed towards release.
The order also requires Echelon Productions to disclose all agreements entered into with third parties concerning the film’s commercial exploitation. The production house has been directed to complete this disclosure within 48 hours. It must also restore the producer credits as agreed between the parties within the same period.
What did Echelon Productions tell the court?
During the proceedings, Echelon Productions argued that AND Movie Products had actively participated in promoting Tu Hai Meri Kiran through Instagram posts. It relied on this promotional involvement to contend that the co-producer had accepted the film’s release plans. However, the court did not accept social media collaboration as sufficient evidence that AND Movie Products had given up its contractual rights.
As reported by Bar and Bench, the court order stated, "There is a difference between agreeing to promote the announcement of a film and agreeing to give up the contractual right to get back the investment. In the same way, accepting an Instagram collaboration post is not the same thing as giving prior consent to the terms of a commercial exploitation agreement. Both acts are different and their effect may be different."
The judge also observed that, "The conduct of the parties may help the court in understanding their agreement. But unless there is sufficient material to show that they intended to change the agreement, such conduct cannot be used to remove an obligation which has been written in it."
