The company said it executed a Share Purchase Agreement (SPA) with REC Power Development and Consultancy Limited (RECPDCL), it said in a regulatory filing on Friday.
The development follows AESL’s earlier intimation dated July 24, 2026, regarding its media release on winning an approximately Rs 8,500 crore transmission project in Andhra Pradesh.

Its turnover is not applicable. The equity shares are being acquired at a face value of Rs 10 each, with AESL acquiring 100% of the company.
The acquisition does not constitute a related party transaction. AESL said that neither the promoter, promoter group nor group companies have any interest in the entity being acquired. VPTL has been incorporated in India and was registered with the Registrar of Companies, New Delhi, on February 16, 2026. As the company was incorporated in 2026, its turnover history for the previous three years is not applicable.
According to AESL, VPTL has been planned to facilitate the integration and supply of power to the proposed Green Hydrogen and Green Ammonia projects in the Vizag area. These projects are expected to cater to an estimated demand of around 4,500 MW.
The target entity operates in the electric utilities sector as a transmission service provider. AESL said the acquisition is proposed to further its strategy of enhancing value for shareholders through both organic and inorganic opportunities.
The transaction involves the acquisition of the entire equity share capital of VPTL. The company has an authorised capital of Rs 5 lakh and a paid-up capital of Rs 5 lakh, while its turnover has been classified as not applicable.

With the execution of the SPA on August 14, AESL has now acquired full ownership of the entity that has been planned to facilitate power integration and supply for the proposed projects in the Vizag area.
Adani Energy makes cut in MSCI India index
Adani Energy Solutions, along with Lenskart Solutions, Billionbrains Garage Ventures and Laurus Labs will be added to the MSCI India Index.
According to Nuvama Alternative & Quantitative Research, the inclusion of the four stocks in the MSCI India Index could attract potential inflows of up to $600 million.
