Bengaluru: Delhi-based pharmaceutical firm Jagsonpal Pharmaceuticals has agreed to acquire the wellness portfolio of Group Pharmaceuticals.

Jagsonpal has signed a business transfer agreement on Wednesday with Group Pharma to acquire the portfolio on a going-concern basis through a slump sale. The transaction involves an initial consideration of Rs 23.7 crore and additional consideration of up to Rs 23 crore linked to FY28 sales, the company said in a stock exchange filing.

The acquisition is expected to be completed by November 1, subject to fulfilment of conditions under the agreement, said the statement.

The wellness portfolio will be integrated with Jagsonpal’s existing commercial platform and distribution network, the company said.

“The acquisition marks another meaningful step in our growth journey. It strengthens our pharmaceutical portfolio and expands our presence across complementary therapeutic segments, especially in women healthcare,” said Manish Gupta, managing director, Jagsonpal Pharmaceuticals.

Group Pharma said the divestment is part of its strategy to focus on oral care and direct its resources and investments towards the category.

“With this divestment, GPL is now India’s only full-stack oral care-focused company from R&D and manufacturing to marketing of dental products,” the company said.

Nikhil Kaushik, chief executive officer, Group Pharmaceuticals, said the company believes the divestment will allow it to focus its investment and leadership attention on oral care.

The transaction is subject to customary closing conditions. Think Law Advisors advised Jagsonpal, while Tatva Legal advised Group Pharma.
