Adani Energy acquires 100% stake in Vizag Power Transmission for Andhra Pradesh project

The agreement was executed on August 14, 2026, at around 12:30 p.m. IST, AESL said in a stock exchange filing.
The acquisition follows AESL's July 24 announcement that it had won a transmission project in Andhra Pradesh with an estimated project value of around Rs 8,500 crore.
VPTL is an electric utilities company and a transmission service provider. The target entity has an authorised share capital of Rs 5 lakh and paid-up share capital of Rs 5 lakh. Its turnover is not applicable, according to the filing.
AESL said the acquisition is part of its strategy to enhance shareholder value through both organic and inorganic opportunities.
VPTL has been planned to facilitate the integration and supply of power to proposed Green Hydrogen and Green Ammonia projects in the Vizag area. The transmission infrastructure is expected to cater to an estimated demand of around 4,500 MW.
The acquisition does not constitute a related-party transaction, and AESL said neither its promoters, promoter group nor group companies have any interest in the entity being acquired.
The acquisition has been completed and does not require any governmental or regulatory approvals, the company said.
The transaction involves cash consideration, with the equity shares being acquired at a face value of Rs 10 each. AESL will acquire 100% of VPTL.
VPTL was incorporated in India and registered with the Registrar of Companies, New Delhi, on February 16, 2026. As the company was incorporated this year, its turnover history for the last three years is not applicable.
