Insurance Regulatory and Development Authority of India (IRDAI) has approved
Patanjali Ayurved and the Dharampal Satyapal Group's acquisition of Magma General Insurance for nearly Rs 4500 crore.

This marks the final key regulatory clearance for the transaction announced in March, paving the entry of Baba Ramdev's Patanjali Ayurved into the financial services space.


Patanjali, a maker and marketer of herbal and other FMCG products, will acquire 73.6% in the non-life insurer while the Rajnigandha pan masala maker DS Group will acquire 24.5% from Adar Poonawalla-owned Sanoti Properties and selling shareholders including Celica Developers and Jaguar Advisory Services. Prior to the deal, Sanoti held 72.4% in Magma.

Under the terms of the approval received on July 28, Patanjali will become the promoter of the non-life insurer and will continue to infuse capital to support the company's solvency and growth. The DS Group joins as a co-investor in the acquiring consortium.

Magma’s gross direct premium grew by compounded annual growth rate of 22% between FY21 and FY25 to Rs 3,334 crore, against general insurance industry CAGR of 10%, CareEdge Ratings said in March.

The insurance company achieved breakeven in FY25 with reported profits of Rs 1 crore compared to losses of Rs 141 crore in FY24. In the first nine months of FY26, it reported a net profit of Rs 27 crore. Its solvency margin stood at 1.81x as on December 31, 2025, which is above the regulatory threshold of 1.50x translating into an excess capital of Rs 268 crore.

The company with over 70 products across various categories offers insurance to secure all major risks in the general insurance sphere.

Going forward, Patanjali is likely to expand the product portfolio of the insurer and extend its reach across India, including in under-served semi-urban and rural markets. Patanjali has a huge distribution strength including access to rural markets. Its products are available at about two lakh counters across the country, national level chains including Reliance Retail, Hyper City, Star Bazaar and 250 Patanjali Mega Stores.
