NEW DELHI: IT and BPO services provider MphasiS BFL Ltd has reconstituted its board following US-based firm Electronic Data Systems Corporation (EDS) acquiring a majority stake in the company.

Stephen Heidt, vice president of Business Workforce and Capacity Management, will take over from Jaithirth Rao as the new Chairman of the board, the company said in a statement.

Rao would continue to serve on the board as CEO and Managing Director of the company but would relinquish the post of chairman to meet statutory requirements under the listing agreement executed with the stock exchanges.

Representing EDS on the Board would be co-CFOs Thomas Haubenstricker and Ron Vargo, executive vice president Corporate Strategy and Business Development Paul Currie, vice president and general manager Asia Pacific North Region Joseph Eazor and vice president Service Delivery Europe, Middle East and Africa Douglas Davis, it said.

The board, at its meeting held on Tuesday, had approved in principle the merger of EDS India into MphasiS BFL Ltd and has appointed legal counsel and valuers to work out a detailed scheme of amalgamation.
