A recent ruling by a Canadian judge has showed that sending a thumbs-up emoji can be considered as a legally binding agreement. The case revolved around farmer Chris Achter and grain buyer Kent Mickleborough, who had entered into a deal for the sale of 87 metric tons of flax in 2021. Mickleborough had signed the contract and texted a picture of it to Achter, along with the message "Please confirm flax contract." In response, Achter replied with a thumbs-up emoji.

When Achter failed to deliver the flax as agreed, Mickleborough filed a lawsuit, arguing that Achter's thumbs-up emoji indicated his acceptance of the contract. Judge T.J. Keene of the Court of King's Bench in Swift Current, Saskatchewan, agreed with Mickleborough's interpretation and ruled on June 8 that the emoji constituted an agreement. As a result, Achter was ordered to pay Mickleborough $82,200 in Canadian dollars (equivalent to $61,000 USD).

Mickleborough contended that the thumbs-up response, combined with the accompanying text, indicated an agreement between the two parties.


Achter, however, claimed in a deposition that he did not think that emoji would serve as a signature or agreement to the contract. He also highlighted the informal nature of their text exchanges, mentioning that he had previously responded to other contracts with phrases like "looks good," "ok," and "yup."

Achter's legal counsel argued that accepting the thumbs-up emoji as a form of "identity and acceptance" would create a precedent that could lead to various interpretations of different emojis in future cases. However, the judge rejected this argument, asserting that, given the circumstances, the thumbs-up emoji constituted a valid means for Achter to express his acceptance of the flax contract.
