Mold-Tek Packaging board approves 1:1 bonus issue, Rs 3 final dividend

The board also recommended a final dividend of Rs 3 per equity share, or 60% of the face value of Rs 5 each, for the financial year ended March 2026. The dividend will be declared at the company’s annual general meeting. The record date or book closure period for the dividend will be announced later.
The bonus issue is subject to shareholder approval. Mold-Tek Packaging said it will issue 3.32 crore bonus equity shares of Rs 5 each, amounting to Rs 16.61 crore. The bonus shares will be issued out of the company’s free reserves as of March 31, 2026.
Following the bonus issue, the company’s paid-up share capital will rise to Rs 33.22 crore from Rs 16.61 crore, while the number of equity shares will double to 6.64 crore from 3.32 crore. The company said the bonus issue will be implemented within two months from the date of the board meeting.
The board also approved an increase in the authorised share capital to Rs 40 crore from Rs 20 crore. The authorised capital will now comprise 8 crore equity shares of Rs 5 each, compared with 4 crore shares earlier. The move will require shareholder approval and an amendment to the company’s memorandum of association.

Mold-Tek Packaging also announced changes to its board and senior leadership.
The board approved the appointment of Rana Pratap Janumahanti as Director, Marketing and Strategy, designated as Whole-Time Director, subject to shareholder approval. He will take charge from October 1, 2026, for a five-year term.
Rana Pratap Janumahanti currently serves as Senior Vice President, Corporate, and has been involved in the company’s strategic initiatives, business development and growth opportunities across the food, FMCG and pharma packaging segments. He also leads the pharma division, including strategic accounts, operations, sales expansion and new product development.
The board also approved the appointment of Chintamaneni Vasant Kumar Roy as an additional director and non-executive independent director for a five-year term from August 26, 2026, subject to shareholder approval.
Roy, 68, is an engineer with a BTech from REC Warangal and a PGDM from IIM Bangalore. He has more than four decades of experience across industrial sales, machine tools, manufacturing, entrepreneurship, valve repair services and international business development.
