Surat-based J B Ecotex Limited has filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) to raise funds through an Initial Public Offering (IPO).

The proposed IPO, with a face value of Rs 5 per equity share, comprises a fresh issue of equity shares worth up to Rs 400 crore and an offer-for-sale (OFS) of up to 12,950,000 equity shares by promoters. The selling shareholders include Jitendrakumar Fulchand Arya, Ayodhyaprasad Jugalkishore Singhal, Rajesh Ramniwas Gupta, Vishal Kejriwal, Ramdas Laxminarayan Jindal, Himanshu Surendra Jariwala, Hemant Vimalkumar Dhandharia, Monika Rajesh Gupta and Sajjan Kumar Kejriwal.

The company, in consultation with the book-running lead managers, may also consider a Pre-IPO Placement of up to Rs 80 crore before filing the Red Herring Prospectus with the Registrar of Companies (RoC). If the Pre-IPO Placement is completed, the amount raised through it will be deducted from the fresh issue size.

Of the fresh issue proceeds, Rs 320 crore will be used for the repayment or pre-payment, in full or in part, of certain outstanding borrowings availed by the company and its material subsidiary. The remaining funds will be used for general corporate purposes.

The IPO will be conducted through the book-building process. Not more than 50% of the net offer will be allocated to Qualified Institutional Buyers (QIBs), while not less than 15% and 35% of the net offer will be reserved for non-institutional bidders and retail individual bidders, respectively.
