The transaction follows Adani Enterprises’ successful Rs 15,000 crore QIP in July 2026, which was India’s largest QIP by a non-financial corporate.

Shares of flagship Adani Group firm Adani Enterprises gained more than 4% to Rs 3,085 on the BSE on Wednesday after its airport arm, Adani Airport Holdings Ltd (AAHL), announced plans to raise Rs 9,825 crore, or around $1 billion, through a primary equity issue from a consortium of marquee domestic and global investors.

The investor consortium comprises Alpha Wave Global, Premji Invest, Temasek and BlackRock managed funds. Under binding agreements, the investors will subscribe to new equity shares in three tranches, with the final tranche expected to be completed by July 2027. Once all three tranches are completed, the investors will collectively hold approximately 5.54% in the company.

The proceeds will be used to expand and modernise airport infrastructure across AAHL’s portfolio, accelerate the development of integrated Adani Airport City ecosystems and scale passenger-facing and other non-aeronautical businesses, including ground handling. The company plans around 22 million sq. ft. of mixed-use development in the first phase of its Airport City projects. These investments are expected to increase airport capacity to serve around 200 million passengers annually.

The transaction follows Adani Enterprises’ successful Rs 15,000 crore qualified institutional placement in July 2026, which was India’s largest QIP by a non-financial corporate. AAHL said the latest transaction brings long-duration institutional capital into the business as India’s aviation sector enters a phase of passenger growth, capacity expansion and infrastructure investment.

AAHL is a subsidiary of Adani Enterprises and is one of India’s largest private airport operators. The transaction is subject to customary conditions precedent, including receipt of applicable approvals.
