The acquisition of 16,000 equity shares is for a consideration of Rs 60 crore and is expected to be completed by September end.
BIPL procures, trades, and distributes construction materials for infrastructure and real estate projects. It has become one of the fastest-growing businesses in the Arisinfra Group, the company said in a release.
“Buildmex has shown what our model can do at scale. Increasing our ownership now is a deliberate, long-term decision. We see significant headroom for growth and margin expansion in this business, and we want our shareholders to capture more of that value,” said Ronak Morbia, CMD, Arisinfra Solutions.
The subsidiary’s revenue rose from Rs 17.93 crore in 2023-24 to Rs 70.36 crore in 2024-25 and Rs 179.03 crore in 2025-26, around a tenfold increase in two years, the release added.
The increased stake provides Arisinfra a larger share of BIPL's economic value at an early point in its growth and strengthens alignment across the Group's materials platform.
In parallel, the company expects its trade deposits and advances to reduce by a corresponding Rs 60 crore, so the acquisition will not draw down the company's overall cash position.
The transaction is not a related party transaction. The shares are being acquired from BIPL's existing minority shareholder.
