Solar Industries to acquire South Africa’s Omnia for Rs 12,951 crore in biggest global expansion push

The Nagpur-headquartered company said in an exchange filing on Monday that it will acquire the shares of Omnia, excluding treasury shares, at ZAR 134.5 per share. The transaction is subject to applicable regulatory, statutory and competition approvals and other customary conditions precedent.
The acquisition is expected to be completed in early to mid-2027, subject to competition approvals in relevant jurisdictions. Upon completion, Omnia will be delisted from the Johannesburg Stock Exchange and A2X Markets securities exchange.
Omnia’s mining business key to deal
Solar Industries said the acquisition will help create a global platform for commercial explosives and blasting solutions, while strengthening its international presence, expanding its geographical footprint, enhancing technological capabilities and diversifying its operations.Omnia is a diversified chemicals company headquartered in Johannesburg, South Africa. Incorporated in 1953, it has a physical presence in 23 countries and serves customers in more than 40 countries through over 70 distribution centres.
For the financial year ended March 31, 2026, Omnia reported revenue of $1.41 billion, up from $1.25 billion in FY25 and $1.18 billion in FY24.
Its mining segment, BME, provides blasting systems, explosives, mining chemicals and metallurgical processing solutions to the commercial mining and quarrying industries. Omnia employs more than 3,500 people.
