Rani Kapur seeks postponement of Sona Comstar AGM; calls son Sunjay Kapur's death 'suspicious'

Rani Kapur, former Chairperson of Sona Comstar and widow of late industrialist Dr Surinder Kapur, has written to the company’s Board and shareholders urging a deferral of its upcoming Annual General Meeting (AGM), originally scheduled for July 25, sources said.

Rani Kapur, also the mother of late Sanjay Kapur, a well-known businessman and former spouse of actor Karisma Kapoor, holds majority ownership in the Sona Group by virtue of her late husband’s will.

In a detailed communication, as accessed by ET Online, Kapur requested that the 29th AGM be postponed in light of the “deep mourning” period following the death of her son, Sanjay Kapur, in the UK on June 12.


She referred to the circumstances of her son’s death as “sudden and suspicious” and said that no formal explanation or documentation regarding the incident has been shared with her.

In her letter, she alleged being made to sign documents during her vulnerable state after her son’s passing, without clarity on their content. “The contents of such documents have never been revealed to me,” she said.

"Please take note that during the aforesaid period of grieving, I was approached multiple times and compelled to sign various documents without explanation or even having time to read and understand the same," Rani Kapur said.

She also raised concerns over recent developments within the company’s leadership structure, alleging that appointments to the Board were being pursued without her knowledge or consent.

"I’ve been informed that certain people are representing themselves as being the largest shareholders of the Company since they claim to represent the interest of the family in the Company. I am fully convinced that the documents which were executed by me under coercion and duress, post the demise of my son, at a time of mental and emotional vulnerability are being misused.

“I have not given any consent or officially nominated any person to come on the Board... or represent me in any capacity,” she said.

Kapur objected to the AGM being convened without adequate transparency, particularly since the proposed resolutions “could have long-term implications.” She called for a minimum two-week deferment to allow time for due diligence and access to relevant information.

Senior Advocate Vaibhav Gaggar, her legal representative, confirmed the letter’s contents to ANI. He clarified that while Kapur is not initiating legal action at this stage, she is seeking a pause in proceedings to ensure decisions are taken with full awareness.

“If you choose to ignore this mail and move forward without conferring with me... I would be left with no other option but to assume that it was a conscious decision taken by you to the detriment of the company and the family,” she said.

Sunjay Kapur, chairman of auto components firm Sona Comstar, passed away in London on June 12, 2025. He reportedly suffered a heart attack while playing polo in the United Kingdom.

Kapur’s final rites were conducted at the Lodhi Road Cremation Ground in South Delhi on June 19, in the presence of close family members and associates.

A well-known figure in business circles, Sunjay Kapur had also been in the public spotlight due to his previous marriage to actor Karisma Kapoor. The two married in 2003 and have two children—daughter Samaira, born in 2005, and son Kiaan, born in 2011. The couple filed for divorce in 2014, which was finalised two years later in 2016.

Following the separation, Kapur married Priya Sachdev. The couple later welcomed a son, Azarias.
