Vadilal Enterprises blocks renewal of key 10-year pact with ice cream maker Vadilal Industries

The agreement, signed in September 2016 and set to expire on September 30, 2026, has been the principal route through which Vadilal Industries’ products are sold and distributed domestically in India.
Vadilal Industries said Vadilal Enterprises has communicated that it cannot proceed with the renewal because it has not received the required approvals from its public shareholders.
The development comes despite the proposed renewal having been placed before Vadilal Industries’ own public shareholders at its annual general meeting, where it was approved, the company said.
“As stated in the notice of the 42nd annual general meeting” the company is engaged in manufacturing ice creams, frozen desserts and other processed food products, with domestic sale and distribution presently routed principally through Vadilal Enterprises, the filing said.
With the existing agreement expiring on September 30, Vadilal Industries said it will not be able to proceed with the proposed renewal from October 1, 2026.
The company said it has begun evaluating and initiating appropriate next steps to ensure continuity of smooth business operations and prevent any detrimental impact from the discontinuation of the agreement.
Vadilal Industries also said it is taking necessary measures to safeguard the interests of the company and its public shareholders.
