Dabur had acquired a 51% stake in Sesa Care from private equity fund True North for Rs 12.59 crore at face value as part of the deal announced in October 2024. The transaction valued Sesa Care's enterprise value at an estimated Rs 315-325 crore, including Rs 299 crore of debt secured by Dabur's corporate guarantee.
The merger will strengthen Dabur's existing hair care portfolio and help it tap new growth opportunities, the company said.
Dabur had acquired a majority stake in Sesa Care in October 2024. Its board approved the scheme to merge Sesa Care with Dabur India in May 2025.
"The NCLT approval marks a key milestone in the transaction first announced in October 2024 and paves the way for the integration of Sesa Care with Dabur India, subject to completion of the necessary statutory filings and other formalities," Dabur said.
The merger scheme had earlier received the required approvals from Dabur India's equity shareholders and unsecured creditors at meetings convened under NCLT directions on May 2, 2026. The scheme has also received approvals from the relevant regulatory authorities.
Under the Companies Act, a merger scheme takes effect after NCLT approval and completion of the required statutory filings and other formalities.
"The integration of Sesa Care is aligned with our long-term strategy of strengthening our portfolio and tapping newer growth opportunities. We will look to leverage Dabur India's extensive distribution network, category expertise and access to key international markets to expand Sesa Care's reach and unlock revenue and cost synergies from the combined business," Global CEO Mohit Malhotra said.
The integration is expected to allow Dabur to use its distribution network and international presence to expand Sesa Care's reach, while seeking revenue and cost synergies from the combined business.
